Terms of Service

1. Services Covered

Studio Nathan offers two types of work. Ad Studio is a subscription-based service focused on ongoing static ad creative for Meta, designed for brands that are already running ads and want consistent, thoughtful creative execution each month. Studio Nathan also takes on project-based work, which may include brand identity design, brand activation, AI workflows, and other clearly defined creative projects. Project-based work is scoped and agreed separately before any work begins. Where a term applies only to Ad Studio, this is made clear. Otherwise, these terms apply across all Studio Nathan work.

2. Ad Studio Overview
Ad Studio is a limited-capacity service, intentionally kept small to ensure quality, care, and consistency. Subscribing to Ad Studio reserves a place within that capacity for the given month. It is not a one-off service and is not designed for short-term or single deliverables. Because capacity is limited and often waitlisted, access may be paused or closed at any time, and re-entry is not guaranteed if a subscription is cancelled or paused.

3. How Work Is Delivered
All Ad Studio work is delivered asynchronously through a shared project workspace, such as ClickUp. This is where briefs are submitted, work is reviewed, feedback is shared, and final assets are delivered. Calls and meetings are not included as part of the service. If a call is genuinely helpful for a specific situation, it may be discussed and agreed in advance, but this is the exception rather than the norm.
4. Briefs, Assets, and Client Responsibility
Ad Studio is an execution-focused service. Creative direction, messaging, angles, and campaign intent must be supplied by the client or their appointed team or agency. Studio Nathan does not create ad strategy or write briefs as part of Ad Studio. To get the best results, clients are expected to provide clear briefs, suitable assets, and relevant references at the start of each billing period.
Briefs should ideally be submitted within the first 10 days of the month. Briefs submitted after the 20th of the month are not guaranteed to be completed within that billing period. If briefs or required inputs are not provided at all for a given month, no work will be delivered for that month, and this does not roll over. Subscription fees cover reserved capacity rather than guaranteed output, and refunds are not guaranteed where delays are caused by missing or late input, though they may be considered at Studio Nathan’s discretion.

5. Deliverables and Formats
Ad Studio delivers static ad creative designed specifically for Meta placements. Final assets are supplied as flattened image files, typically JPEG or PNG. Working files, layered files, source imagery, or intermediate drafts are not included. Studio Nathan does not design ads inside Meta or manage campaigns. Responsibility for uploading, deploying, and testing assets sits entirely with the client.

6. Design Rounds and Scope Control
Each ad design includes up to four design rounds. A design round refers to a clear iteration or refinement stage of a single ad concept. Once the fourth round is complete, the ad is considered final and prepared for delivery. If further development is requested beyond this point, it will be treated as a new ad design and will count toward that month’s allocation. Ads already in development are not automatically continued into additional designs, and this will always be communicated clearly in advance.

7. Use of AI and Tools
All work delivered by Studio Nathan is human-led. AI tools may be used to support parts of the creative process, such as ideation, visual development, or image enhancement, but they are used as tools rather than replacements. AI is not a miracle solution, and the quality of outcomes depends heavily on the quality of briefs, assets, and direction supplied. Testing variations refer to graphical layouts and visual iterations only, not media strategy, performance analysis, or campaign optimisation. By working together, you give permission for your content to be used on AI and online tools if deemed suitable.

8. Performance and Results
Studio Nathan provides creative assets only and does not guarantee performance outcomes. Results are influenced by many factors beyond creative execution, including media strategy, targeting, budgets, platforms, products, and websites. Final responsibility for approving and deploying assets sits with the client, and Studio Nathan is not liable for performance results or outcomes once assets are approved or used.

9. Payment, Billing, and Subscriptions
Ad Studio subscriptions are billed monthly in advance, with payments taken on the 1st of each month. Work for a given month will not begin until payment has been successfully received for that month. Subscriptions may be managed through third-party platforms such as Stripe, where clients can update or cancel their subscription directly. If a subscription is cancelled, work will stop at the end of the paid period. Any work already paid for will continue unless there is a breach of these terms.

10. Pauses, Availability, and Capacity
Studio Nathan is a one-person studio, and work is delivered personally with care and attention. From time to time, delivery may need to pause due to illness, emergencies, or other unforeseen circumstances. If this happens, it will always be communicated clearly in advance, and billing may be paused accordingly. Requests from clients to pause subscriptions are considered at Studio Nathan’s discretion and are not guaranteed, particularly due to limited capacity and waitlists.

11. Project-Based Work
For project-based work outside of Ad Studio, scope, timelines, and deliverables are agreed upfront. Requests outside the agreed scope may require a new quote. Payment terms for project work are confirmed before work begins, and ownership of final deliverables transfers only once full payment has been received.

12. Ownership and Usage
Once payment is complete, clients are granted the right to use final delivered assets for their intended purpose. Studio Nathan does not supply working files or unused drafts, and does not provide additional assets beyond those explicitly delivered. Studio Nathan may showcase final work in portfolios, case studies, or promotional materials unless otherwise agreed. Client-provided assets are assumed to be owned or properly licensed by the client.

13. Conflicts, Exclusivity, and Confidentiality
Ad Studio access does not grant exclusivity. Studio Nathan may work with other brands, including those in similar industries. Care is taken to avoid conflicts of interest, and confidential information or internal strategy is never shared between clients. Final responsibility for approving assets before use sits with the client.

14. Liability and External Factors
Studio Nathan is not responsible for delays or failures caused by events outside reasonable control, including illness, emergencies, third-party tool outages, or platform changes. Studio Nathan is also not responsible for changes to third-party platforms that affect how assets are displayed, approved, or used. Liability is limited to the amount paid for the services provided.

15. Updates and Acceptance
These Terms & Conditions may be updated from time to time. Any updates apply to future work or subscriptions. By subscribing to Ad Studio, confirming a project, or accepting a quote, you agree to these Terms & Conditions and acknowledge the Privacy Policy available on the Studio Nathan website, which explains how personal information is handled.
